Terms and conditions.

2.My services and products

I offer:

• UGC videos for brands, including idea, script, filming and editing.
• Licences to use the videos in paid ads.
• The digital guide "From 0 to Your First Brand".
• A free creators community on Discord and WhatsApp.
• 1-to-1 mentoring for creators.

The scope, timeline and price of each brand project, and of each mentoring, are set out in a specific proposal or contract, which prevails over these Terms in case of conflict.

3.Proposals, payments and invoicing

• Every project starts with a proposal or contract setting out the videos, timelines and price.
• Unless stated otherwise, I invoice after delivery and payment is made by bank transfer within 15 days.
• If payment is more than 7 days late, use of the videos is suspended until it is settled. Late amounts bear statutory interest and collection costs.
• I am VAT-exempt under article 53 of the Portuguese VAT Code, so prices do not include VAT.

4.Revisions and approval

I only film after you approve the script in writing. Each video includes up to 2 rounds of revisions on the edited video. A round is a set of changes requested at once, in writing.

Changes to the approved concept or script, reshoots and new formats or versions are not revisions and are quoted separately. If you do not request revisions within 5 business days of delivery, the video is considered approved.

Brand delays with the brief, approvals or replies extend the timelines by the same number of days.

5.Usage rights and licensing

The videos, scripts, my image and my voice remain mine. The brand receives a usage licence, which only takes effect on full payment. Unless the proposal or contract says otherwise:

• Organic use on the brand's social media, website, newsletter and own channels is included, with no time limit. It does not cover third-party channels, partners or resellers.
• Use in paid ads has the period and platforms stated in the proposal, counted from the date the brand publishes the ad. When the paid period ends, the video is removed from ads unless renewed.
• Renewal is per video and per month, paid in advance, in the brand area of the site.
• Automatic renewals continue until cancelled. You can cancel at any time by replying to the invoice email or writing to collab@anacarolinaugc.com, and the licence stays active until the end of the period already paid.
• Renewals for a fixed number of months end at the end of that period.
• The licence does not include ads run from my profile (Partnership Ads, Spark Ads or equivalents) or posting on my profile, which need a separate written agreement.
• The licence covers the delivered videos, not raw footage, which is not included.
• I may show the videos in my portfolio, on my channels and in proposals to other brands, and name the brand as a client, once it has published them or at most 60 days after delivery.
• Using the videos beyond what was agreed is unauthorised use and requires an additional licence.

6.Artificial intelligence and usage limits

The licence covers the agreed use only. Without written permission, the brand may not:

• Use the videos, my image or my voice to train, generate or feed artificial intelligence systems, voice clones, avatars or synthetic content.
• Assign, sell, sublicense or transfer the videos to third parties, including agencies and partners, or use them to promote other brands.
• Cut, edit, adapt, dub or translate the videos, or use my image or voice in other pieces.

These limits protect my image and the credibility of the content. Other uses can be agreed in writing.

7.Brand obligations

When working with me, the brand agrees to:

• Provide accurate information and materials on time.
• Send the products needed for filming, where applicable.
• Ensure it holds the rights to the brands, logos and materials it gives me.
• Use the videos in line with the licence granted.

8.Creators, community and mentoring

By joining the community, the brand-introductions list or mentoring, the creator agrees to:

• Provide truthful information, including real channels and portfolio.
• Treat others with respect, with no spam, no selling without permission and no sharing outside the group what others write.

The community is free. I may remove anyone who doesn't follow these rules. Joining the "Introduce me to brands" list does not guarantee collaborations, and mentoring follows what we agree in writing before starting.

9.The guide "From 0 to Your First Brand"

• The guide is a digital product sold for a one-off payment. After payment you get access with your email, in Portuguese and English, with no end date.
• The price is the one shown on the site at the time of purchase. Payment is processed by Stripe.
• The guide is for personal use. You may not share, resell or publish it, in whole or in part.
• You have 14 days from purchase to withdraw without giving a reason. Just write to collab@anacarolinaugc.com and I will refund the amount paid within 14 days.
• The guide shares what worked for me and does not guarantee collaborations, clients or income.

10.Intellectual property of the site

All site content, including texts, images, videos, brand and visual identity, belongs to me or is used with permission. You may not copy, reproduce or use it without my permission.

11.Acceptable use

When using the site, you agree not to:

• Use it for unlawful or unauthorised purposes.
• Try to access areas, systems or data without permission.
• Introduce malicious software or interfere with how the site works.

12.Limitation of liability

I do my best to deliver quality work. To the extent permitted by law, I am not liable for indirect damages or loss of profit arising from the use of the site or content, and my liability for a project does not exceed the amount paid for it. Nothing in these Terms limits your statutory rights as a consumer.

13.Cancellation

Either party may cancel a project in writing. If the brand cancels, or stops replying for more than 15 business days, the following is due, unless the proposal or contract says otherwise:

• 30% of the total amount, once the scripts have been sent.
• 50% of the price of each video being filmed or edited.
• 100% of the price of each video already delivered.

Amounts already invoiced are not refunded, and the brand may not use unpaid scripts, videos or materials.

I may cancel at no cost if asked for illegal, misleading or non-compliant advertising content, or if payment is not made. I may also refuse or stop services if these Terms are breached.

14.Privacy

Your personal data is handled under my Privacy policy, at anacarolinaa.com/privacy, which forms part of these Terms.

15.Complaints, governing law and jurisdiction

If something goes wrong, talk to me first at collab@anacarolinaugc.com. You can also file a complaint in the Portuguese electronic complaints book at www.livroreclamacoes.pt and, for consumer disputes, turn to CNIACC, the Portuguese consumer arbitration centre, at www.cniacc.pt.

These Terms are governed by Portuguese law. Any dispute will be submitted to the competent Portuguese courts, without prejudice to consumer rights.

16.Changes to these Terms

I may update these Terms. New versions are published on this page with a new effective date. Projects and purchases already made follow the Terms in force at the time.
